By accessing or using Helpium's services, website, and software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
2. Description of Service
Helpium provides a customer support platform that includes AI-powered self-service tools, live chat functionality, knowledge base management, and analytics. The Services are designed to help businesses manage and improve their customer support operations.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
3. User Accounts
To use certain features of the Services, you must create an account. When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:
- Create only one account per person or entity
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access or use of your account
- Accept responsibility for all activities that occur under your account
4. Workspaces and Multi-Tenancy
Helpium operates on a workspace-based multi-tenancy model. Each workspace is a separate, isolated environment for your organization's data. You are responsible for managing access to your workspace and ensuring that only authorized individuals have access.
You may invite team members to your workspace. You are responsible for the actions of all users you invite to your workspace.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit any malicious code, viruses, or harmful content
- Harass, abuse, or harm another person or entity
- Send unsolicited communications or spam
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use the Services for any illegal or unauthorized purpose
6. Intellectual Property
The Services and all content, features, and functionality are owned by Helpium Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.
7. Payment Terms
Certain features of the Services require payment of fees. All fees are quoted in US dollars unless otherwise specified. You agree to pay all fees associated with your selected plan.
Fees are billed in advance on a monthly or annual basis, depending on your subscription plan. Your subscription will automatically renew unless you cancel before the renewal date.
We may change our fees at any time with at least 30 days' notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
8. Termination
You may terminate your account at any time by contacting us or using the account settings in the Services. Upon termination, your right to use the Services will immediately cease.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELPIUM INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL HELPIUM INC.'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO HELPIUM FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in San Francisco County, California.
12. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
